ZARRAH FOUNDATION

Constitution & Bylaws

Article 1: Name

The organization shall be known as "Zarrah Foundation" (জাররাহ ফাউন্ডেশন), a non-profit, non-political, voluntary social welfare organization.

Article 2: Legal Status

The organization is registered under The Societies Registration Act, 1860, Bangladesh, with registration number [Registration Number].

Article 3: Objectives

  • To promote social welfare and community development
  • To provide education and healthcare support to underprivileged communities
  • To organize disaster relief and humanitarian aid programs
  • To empower women and youth through skill development
  • To promote environmental conservation and sustainable development
  • To conduct research and advocacy on social issues

Article 4: Membership

Membership is open to all Bangladeshi citizens who:

  • Are at least 18 years of age
  • Agree to abide by the constitution and bylaws
  • Are not convicted of any criminal offense
  • Pay the prescribed membership fee

Article 5: Governance

The organization shall be governed by an Executive Committee elected by the General Assembly. The committee shall consist of:

  • President - 1
  • Vice President - 2
  • General Secretary - 1
  • Joint Secretary - 1
  • Treasurer - 1
  • Executive Members - 7

Article 6: Meetings

The General Assembly shall meet at least once annually. Executive Committee meetings shall be held monthly. Special meetings may be convened by the President or upon request of one-third of the members.

Article 7: Finances

The organization's funds shall be derived from membership fees, donations, grants, and other lawful sources. All funds shall be maintained in a bank account operated jointly by the President and Treasurer.

Article 8: Audit

Annual audit of accounts shall be conducted by a qualified auditor appointed by the General Assembly. Financial statements shall be presented at the annual General Assembly meeting.

Article 9: Amendments

Amendments to this constitution may be made by a two-thirds majority vote of the General Assembly, provided that notice of proposed amendments has been given at least 30 days in advance.

Article 10: Dissolution

In the event of dissolution, all assets of the organization shall be transferred to another registered non-profit organization with similar objectives, as decided by the General Assembly.
